An independent, committed family group

CIS is an independent, family-owned group whose corporate governance is underpinned by a committed and demanding Board of Directors. It defines strategic orientations with the support of 3 committees (Strategic Committee, Audit and Risk Committee and Remuneration Committee). Comprising 10 directors, 6 of whom are independent, the Board reflects a diversity and complementarity of experience and expertise. The aim is to inform strategy and safeguard the interests of the Group and its shareholders.

Ensuring strategic direction

The CIS Group Executive Committee is headed by Yannick Morillon, CIS Group Managing Director. It is responsible for executing the strategy approved by the Board of Directors. It meets every week to review the group’s situation in all areas (cash flow, profitability of subsidiaries and branches, operational and commercial actions, human resources, etc.) and, after consulting its teams, takes the appropriate decisions. Missions

The quality of our services is at the heart of our commitments. In this respect, it is important to pursue and optimize our evaluation procedures. The Executive Committee is made up of General Management, cross-functional head office departments and area managers representing our countries of operation. Every month, it reviews all operational aspects and shares best practices.

As a service integrator, the quality of life of our residents is a top priority at our facilities. This is why we mobilize our teams and apply methods whose principles are enshrined in a charter known as “4A by CIS“. They stand for : Arrival, Attention, Approach and Attitude. 4 essential principles for good service quality.

Every month, the Executive Committee analyzes the key figures for each subsidiary, as well as the satisfaction rate at each of the sites managed, in order to measure profitability in relation to the targets set.

Internal Audit Committee

Missions

CIS Group’s Internal Audit Committee plays a key role in corporate governance and transparency. In compliance with the legal provisions set out in the French Commercial Code, the Audit Committee contributes to several crucial aspects of our organization’s management and performance. The Audit Committee is dedicated to the pursuit of very specific missions, governed by the law, to ensure the relevance of the company’s financial information the effectiveness of our internal control and risk management systems, as well as its role in alerting us to major developments observed in other groups.

Operating independently, the Audit Committee supports management with pertinent and sympathetic questioning, breaking with routine and habitual frameworks to make the company a more competitive and efficient organization. CIS Group’s Internal Audit Committee is committed to maintaining the highest standards of corporate governance, responsibility and ethics, thus contributing to the sustainability and continued success of our company.

The CIS Group has always paid particular attention to local development in its countries of operation, participating in local economic and social development. In line with our defined values and objectives, the CSR Committee works to integrate social and societal actions in all our countries of operation.

Our priorities are clear:
– Structuring our sustainable sustainable development and promote the initiatives already undertaken, in order to generalize best practices.
– Support our subsidiaries in deploying positive-impact actions in our operating areas (combating food waste, waste management responsible purchasing, employee training and loyalty, anti-corruption etc.)
– To co-construct tomorrow’s living environment, by becoming the partner that supports major clients in a more virtuous, more ecological, more secure and more sustainable approach.
